Chicago Theatre Workshop Submissions Agreement
1. Acceptance
1.1 By using Chicago Theatre Workshop’s (“CTW”) website to submit an original script or other content, you accept the terms of this agreement. If you are entering into this agreement on behalf of another person or entity, you represent that you have the legal authority to bind that person or entity to this agreement. If you do not have such authority or if you do not agree to every term in this agreement, you must not confirm acceptance by submitting a script or any other content to CTW.
2. Purpose of Agreement - Production and Payment Excluded
2.1 This agreement governs the relationship between CTW and persons who submit scripts or other content to CTW via CTW’s website. Per this agreement, you grant CTW the right to review any and all submissions you make via CTW’s website, to confer with colleagues about your submissions, and to share information about your identity in such reviews, conferences, or discussions. This agreement does not grant CTW the right to stage a production of your script or other submission, nor does this agreement govern any payment, royalties or other financial compensation that may be associated with any such production.
2.2 Definition of “Submission.” For the purposes of this agreement, a submission is content, such as an original script for a stage production, or any other creative content that one might submit via CTW’s website.
3. Authority to Enter Into Agreement
3.1 You represent and warrant that you are at least 18 years old, that you are capable of forming a legally binding contract, that you are willing to form a legally binding contract by accepting the terms of that contract online, without the exchange of paper copies, and that you have the full power and authority to enter into and to comply with your obligations under this agreement.
3.2 If you make a submission to CTW via CTW’s website, you represent and warrant that you are legally able to do so because:
3.2.1 You are the sole author and creator of the submission; or
3.2.2 You are the sole holder of rights to the submission because all rights in such submission have been assigned or transferred to you; or
3.2.3 You are the legal agent or representative of the sole author or creator of the submission, or of the sole holder of rights in the submission.
4. Warranties and Covenants
4.1 You warrant that you have obtained any rights of publicity necessary for any cast member or other individuals contracted to appear in your submission;
4.2 That you have obtained any rights necessary to use any music featured in your submission;
4.3 That you have obtained any rights necessary to use any images, footage or other visual content recognizable in your submission and that you are in compliance with all licenses to use such content;
4.4 That neither your submission nor the exercise of the rights that you grant to CTW in this agreement will infringe or otherwise violate any copyrights, contract rights, rights of privacy or other rights of any person, nor will such defame any person;
4.5 That if your submission is based in whole or in part on the life of any real person, you will indicate that during the submission process;
4.6 That our exercise of the rights you grant under this agreement will not in any way create any obligation to pay you or any third party any royalty or other payment;
4.7 That your submission is free and clear of any pending or threatened litigation.
5. Grant of Rights
5.1 Your submission will be subject to review by CTW. You grant CTW the right to review and consider your submission, and in connection therewith, to share your submission with our colleagues, assigns, or contractors engaged in such review, and together with them, annotate your submission.
6. No Obligation to Produce
6.1 CTW does not have any obligation to produce any stage production or other creative project based on your submission or to use your submission in any way. If CTW decides to produce any such stage production or other creative project based on your submission, CTW may at any time cease any such production or project at CTW’s sole discretion.
7. Other Terms
7.1 Severability. If any court determines that one or more terms of this agreement are illegal, are not valid, or are otherwise unenforceable, those terms shall be deemed to be severed from this agreement and the remaining terms of this agreement shall continue in full force.
7.2 Indemnity. You agree to indemnify CTW for any and all lawsuits or other harms arising from CTW’s review or production of your submission or otherwise arising from the subject matter of this agreement.
7.3 Choice of Venue; Choice Of Law. Any dispute arising from this agreement shall be decided according to Illinois law in the Circuit Court of Cook County, or, in the case of diverse parties, in the U.S. District Court for the Northern District of Illinois.
